Terms of Use

Article 1

1. This Terms of Use (the “Term" or “Terms”) set forth the terms and conditions for the provision of this game 【Money Slap】(the “Game”), and the rights and obligations between we, GeePlus, Inc. (the “Company”) and the Users who has been registered as a user of the Game(the “Registered User”).
2. The Term shall be applied to all aspects of the relationship between the Registered Users and the Company in connection with the Game.

Article 2

1. Upon completion of the registration, the Company allowing the Registered User to use the Game pursuant to the Terms and our Privacy Policy.
2. The Company reserves the rights to refuse registration or re-registration of any Applicant without any obligation to disclose the reasons, when the Company deems the registration inappropriate.
3. The Registered User shall be responsible for keeping and maintaining its password and user ID for the Game.

Article 3

The Game is free to play, but the Registered User may pay to the Company the fees as prescribed separately by the Company, for in-game benefit. THE COMPANY IS NOT OBLIGED TO ANY REFUND TO REGISTERED USER IN ANY REASON.

Article 4

When using the Game, the Registered User must not conduct any act that the Company deems to be inappropriate, like violation of the Term, any offensive behavior toward the Company or third party.

Article 5

1. Any and All IP Rights related to the Game are expressly reserved by the Company. Nothing contained herein shall be construed as granting to the Registered User a license of the IP Rights related to the Game owned by the Company.
2.The Registered User hereby represents and warrants to the Company that it has lawful rights to post or otherwise transmit the posted data，and that the posted data so posted or transmitted does not infringe any third party’s rights.

Article 6

1. If any of the following events arises in relation to a Registered User, the Company may, without prior notice or demand, (i) delete, or suspend the display of the posted data, (ii) temporarily suspend the use by the Registered User of the Game, or (iii) cancel the Registered User's registration as such:
　(1) The Registered User fails to comply with any of the provisions hereof;
　(2) Any of the Registration Information is found to be false;
　(3) The Registered User has not responded to inquiries from the Company or other communications requiring a response for 7 days or more;
　(4) It is determined to be inappropriate by the Company that the Registered User continues to use the Game or to be registered as a Registered User.

Article 7

1. The company shall be entitled to at any time modify the game or terminate the game in its own discretion. In case that the Company terminates the operation of the Game, the Company may, but not obliged to post the termination notice to registered users, in appropriate way which the Company determines.
2. Termination of the game by the reason outside the control of the Company (for example platform companies of the Game changing terms and conditions of their service, or terms for developers), The Company shall be entitled to terminate the Game in its own discretion, without previous notice to Registered Users. And Registered Users hereby agrees to the termination without previous notice.
3. For the avoidance of doubt, THE COMPANY IS NOT OBLIGED TO ANY REFUND TO REGISTERED USER IN ANY REASON AND REGISTERED USER SHALL ACKNOWLEDGE THAT.

Article 8

Treatment by the Company of the Registered User's information shall be subject to the provisions of our Privacy Policy, which is separately prescribed, and the Registered User hereby agrees to treatment by the Company of the Registered User's information pursuant to such Privacy Policy.

Article 9

The Company reserves the right to amend or change the Terms when the Company finds it necessary. The updated Terms will apply from the time you play the Game after the update.

Article 10　

1. Any communications or notices between the Company and the Registered User, the Company may choose any reasonable measures or methods in its own discretion.
2. Any communication or notice made by the Company that is addressed to the Registration Information or account of a Registered User shall be deemed to be received by the Registered User.

Article11

In cases where the Company transfers the business regarding the Game to a third party，the Company may, as part of such transfer, the rights and obligations of the Company under the Terms, and the Registration Information and other information relating to the Registered User, and the Registered User hereby agrees to such transfer in advance.

Article 12

If any provision of the Terms or a part thereof is held to be invalid or unenforceable under Consumer Contract Law or other laws or regulations, the remaining provisions hereof or the remaining portion of the provision held invalid or unenforceable in part shall remain in full force and effect.

Article 13　

1. The Terms shall be governed by the laws of Japan without regard to conflict of laws principles.
2. Any and All disputes arising out of or in connection with the Terms or the Game Agreement shall be submitted to the exclusive jurisdiction of The Tokyo District Court of Japan in the first instance.
